Products and Services Details

1. Subscription Services. Customer hereby purchases the following RapidRatings Subscription Services (if applicable, as noted on the Order Form):
   
   1. FHR Public Company Coverage and FHR Private Company Coverage: Subscription to the FHR® and associated analysis and reports for public companies covered by RapidRatings (the "Public Company Coverage") and for private companies (the "Private Company Coverage"). Analysis includes company specific reports that highlight financial strengths and weaknesses and allows for comparison to other companies. The analysis also includes portfolio views that present and compare aggregated data for industry segments, geographical segments, or custom portfolios. These are largely available as downloadable reports in PDF or excel format.
   2. FHR Private Company Coverage: If data will be provided by a third party via FHR Exchange for Private Company Coverage, then the following will apply. RapidRatings will request financial information from third parties and direct those third parties to input the data into the RapidRatings FHR Exchange. Customer acknowledges that all data access is provided or revoked at the discretion of such third party. RapidRatings may establish a recurring or other relationship with such third party that extends beyond the term of this Order Form. Customer is encouraged to refresh the financial data of such third party throughout any annual period, and RapidRatings will perform data refreshing services automatically. All Private Company Ratings requests must be submitted to RapidRatings in writing no less than sixty (60) days before the expiration of the term of this Order Form, unless the Customer has committed to a renewal. Customer agrees that time is of the essence with respect to such requests and, therefore, any unused Subscription Services will expire at the end of the then-current term of this Order Form and will not be carried over into any extension or renewal term.
   3. API Services: Access and use of the API Services, per the API Services Terms (available at www.rapidratings.com/terms) and Documentation.
2. Subscription Fees. In consideration of the Subscription Services described in this Order Form, Customer shall pay RapidRatings the Subscription Fees set forth in the applicable Order Form. Order Form(s) for additional Subscription Services will be coterminous with existing, executed Order Forms granting Users to Customer unless otherwise expressly stated. Pricing on this Order Form does not include all applicable taxes. Applicable taxes will be added to the Customer's invoice.
3. Method of Delivery. RapidRatings Subscription Services will be available via web-based access and remote telecommunications as of the Order Effective Date. In addition, RapidRatings may deliver Subscription Reports, Documentation, and other documents to Customer electronically via email, file transfer protocol, or other method, as RapidRatings deems appropriate.
4. Order Term. The Order Term will be per the Order Form.  The subscription services will automatically renew for additional one-year periods, unless Customer opts-out of automatic renewal in the Member Portal.
